Combine sugar, butter and water in heavy saucepan. Cook up to 300 F (hard crack stage) stirring constantly to prevent burning. Add vanilla and pour into buttered 9 x 9 pan. Melt chocolate and pour over top. Sprinkle chopped nuts over the top. Cool thoroughly and break into pieces.
